Effective Date: October 10, 2026
Last Updated: October 2026
Company: Byryde Corp.
Website: https://byryde.com
Support Email: support@byryde.com

IMPORTANT: PLEASE READ THESE DRIVER TERMS OF USE CAREFULLY BEFORE REGISTERING AS A DRIVER OR ACCEPTING TRANSPORTATION REQUESTS THROUGH THE BYRYDE PLATFORM.

By creating a Driver account, accessing the Byryde Driver application, accepting ride requests, or providing transportation services through the Byryde platform, you acknowledge that you have read, understood, and agree to be bound by these Driver Terms of Use ("Terms”).

These Terms constitute a legally binding agreement between Byryde Corp. ("Byryde,” "Company,” "we,” "us,” or "our”) and the individual transportation provider ("Driver,” "Independent Contractor,” "you,” or "your”).

If you do not agree to these Terms, you must not access or use the Byryde Driver platform.

These Terms should be read together with any applicable Independent Contractor Agreement, Driver Indemnification and Liability Agreement, insurance requirements, airport operating policies, and other policies expressly incorporated into your agreement with Byryde.

1. CONTRACTUAL RELATIONSHIP AND INDEPENDENT CONTRACTOR STATUS

1.1 Platform Provider

Byryde Corp. operates a technology-based transportation network platform accessible through its mobile applications and official website at https://byryde.com.

The platform connects individuals requesting transportation services ("Riders”) with independent third-party transportation providers ("Drivers”).

Byryde provides technology, ride-matching, payment-processing, communication, and related platform services.

1.2 Independent Contractor Relationship

Drivers using the Byryde platform operate as independent third-party transportation service providers.

The parties intend to establish an independent contractor relationship rather than an employer-employee relationship, subject to applicable law and the actual circumstances of their working relationship.

Drivers are not authorized to represent themselves as employees, officers, agents, or legal representatives of Byryde.

Nothing in these Terms creates a partnership, joint venture, franchise, or employment relationship.

1.3 Driver Independence

Subject to applicable laws, platform safety standards, and accepted transportation commitments, Drivers generally retain discretion over:

  1. When and whether to access the Byryde Driver application.
  2. How long to remain available for transportation requests.
  3. Whether to accept or decline available ride requests.
  4. When to stop providing transportation services.
  5. Whether to provide services through other transportation platforms.
  6. How to manage their independent business expenses.

Byryde does not guarantee any minimum number of ride requests, working hours, earnings, or transportation opportunities.

1.4 No Employment Benefits

To the extent consistent with applicable law, Drivers are responsible for obtaining benefits and protections associated with their independent business activities.

Drivers are not entitled to employee benefits from Byryde solely because they use the platform.

Nothing in these Terms waives employment-related rights or protections that cannot lawfully be waived.

2. DRIVER ELIGIBILITY, REGISTRATION, AND BACKGROUND VERIFICATION

2.1 Minimum Requirements

To become and remain an approved Byryde Driver, you must:

  • Meet the minimum age required by applicable law and Byryde's published eligibility standards.
  • Possess a valid driver's license appropriate for the transportation services provided.
  • Maintain the driving experience required by applicable law.
  • Be legally authorized to operate a motor vehicle.
  • Meet applicable transportation network company requirements.
  • Maintain accurate account and vehicle information.
  • Complete all required background checks and verification procedures.

2.2 Background Checks

Byryde may conduct identity verification, driving record reviews, criminal background checks, and other eligibility screenings through authorized third-party providers, including Checkr.

Background screening will be conducted in accordance with applicable federal and state laws, including the Fair Credit Reporting Act where applicable.

Drivers must provide accurate information and any legally required authorizations.

2.3 Verification Fees

Where permitted by applicable law and disclosed before payment, Byryde may charge a Driver verification or background screening fee.

Any such fee must be disclosed through the Driver application before payment authorization.

Payment of a verification fee does not guarantee approval to use the platform.

If a verification fee is charged, Byryde will disclose the applicable refund terms and any circumstances in which the fee may be refunded.

2.4 Ongoing Eligibility

Byryde may periodically review Driver eligibility, driving records, insurance information, vehicle documentation, and background screening status.

Drivers must promptly notify Byryde of:

  • Driver's license suspension or revocation.
  • Criminal charges or convictions relevant to eligibility, as required by applicable law.
  • Significant traffic violations.
  • Vehicle registration expiration.
  • Insurance cancellation or lapse.
  • Vehicle accidents affecting safety or eligibility.
  • Any other circumstance that makes the Driver legally ineligible to provide transportation services.

2.5 Account Accuracy and Security

Drivers must maintain accurate personal, vehicle, insurance, and payment information.

Driver accounts are personal and may not be sold, transferred, rented, shared, or used by unauthorized individuals.

Drivers are responsible for protecting their account credentials and reporting suspected unauthorized access.

3. VEHICLE REQUIREMENTS, MAINTENANCE, AND INSURANCE

3.1 Vehicle Eligibility

Drivers must use vehicles that satisfy applicable legal requirements and Byryde's published vehicle standards.

Vehicles must:

  1. Be legally registered.
  2. Meet applicable age, condition, and inspection requirements.
  3. Have the legally required number of passenger seats and seat belts.
  4. Be mechanically safe and properly maintained.
  5. Be free from hazardous defects.
  6. Match the vehicle information registered with Byryde.
  7. Comply with applicable accessibility and transportation requirements.

3.2 Vehicle Maintenance

Drivers are responsible for maintaining their vehicles in safe operating condition.

This includes maintaining brakes, tires, steering, lights, seat belts, and other safety-related components.

Drivers must not provide transportation using a vehicle they know or reasonably should know is unsafe.

3.3 Insurance Requirements

Drivers must maintain all automobile insurance required by applicable law.

Drivers must also comply with transportation network company insurance requirements applicable to the jurisdiction in which they operate.

Insurance requirements may vary depending on whether:

  • The Driver application is offline.
  • The Driver is logged in and available for requests.
  • A ride request has been accepted.
  • The Driver is traveling to a pickup location.
  • A Rider is inside the vehicle.

Byryde may maintain insurance coverage required by applicable law. The existence, limits, exclusions, and applicability of coverage are determined by the governing insurance policies and applicable law.

Drivers must not assume that personal automobile insurance covers commercial or ridesharing activities.

3.4 Proof of Insurance

Drivers must provide valid insurance documentation upon request and promptly update expired or modified policies.

Failure to maintain required coverage may result in suspension or removal from the platform.

3.5 Vehicle Expenses

Unless otherwise required by law or expressly agreed in writing, Drivers are responsible for their own business expenses, including fuel, maintenance, vehicle financing, registration, cleaning, parking, and applicable taxes.

4. TRANSPORTATION SERVICES AND DRIVER RESPONSIBILITIES

4.1 Ride Requests

Byryde may offer transportation requests to eligible Drivers through the Driver application.

Drivers generally may accept or decline ride requests, subject to applicable laws, platform policies, and obligations arising from accepted trips.

4.2 Accepted Transportation Requests

After accepting a ride request, Drivers agree to make reasonable efforts to complete the transportation service safely and professionally.

Drivers must not intentionally manipulate ride availability, trip status, pickup locations, or platform records.

4.3 Safe Driving

Drivers must comply with all applicable traffic and transportation laws.

Drivers must not:

  1. Drive under the influence of alcohol or impairing substances.
  2. Operate a vehicle while dangerously fatigued.
  3. Engage in reckless or aggressive driving.
  4. Exceed posted speed limits.
  5. Use handheld devices unlawfully while driving.
  6. Transport passengers beyond the vehicle's legal capacity.
  7. Operate an unsafe vehicle.
  8. Engage in distracted driving or other unsafe behavior.

4.4 Professional Conduct

Harassment, intimidation, discrimination, threats, physical violence, sexual misconduct, and other unlawful conduct are strictly prohibited.

Drivers must comply with applicable nondiscrimination and accessibility laws, including requirements concerning Riders with disabilities and service animals.

4.5 Pickup and Drop-Off Procedures

Drivers must use lawful and reasonably safe pickup and drop-off locations.

Drivers must not stop in prohibited traffic lanes, restricted areas, or unsafe locations.

Drivers must follow applicable airport, event venue, and local transportation regulations.

4.6 Rider Safety

Drivers must take reasonable precautions to protect passenger safety.

Drivers must not knowingly permit unlawful or dangerous conduct inside their vehicles.

If an emergency occurs, Drivers should contact emergency services immediately.

In the United States, dial 911 for emergencies.

4.7 Service Animals and Accessibility

Drivers must comply with applicable disability-access laws.

Drivers may not unlawfully refuse transportation to Riders with disabilities or individuals accompanied by legitimate service animals.

Any permitted accommodations or exceptions must comply with applicable law.

5. DRIVER EARNINGS, PAYMENTS, COMMISSIONS, AND FEES

5.1 Driver Compensation

Drivers may receive compensation for completed transportation services facilitated through Byryde.

The applicable compensation structure, including platform service fees or commissions, will be disclosed through the Driver application or applicable written agreements.

5.2 Fare Calculation

Transportation charges may include:

  • Base fares.
  • Time-based charges.
  • Distance-based charges.
  • Demand-based pricing adjustments.
  • Waiting-time charges.
  • Applicable tolls.
  • Airport-related charges.
  • Additional authorized fees.

The amount paid by a Rider may differ from the amount received by a Driver because of disclosed platform fees, applicable deductions, taxes, or other adjustments.

5.3 Platform Service Fees

Byryde may deduct disclosed service fees or commissions from transportation payments.

Applicable fee structures may be modified prospectively with notice as required by law or contract.

5.4 Payment Processing

Byryde may use third-party payment processors to collect Rider payments and distribute Driver earnings.

Drivers agree to provide accurate payment and banking information.

Payment schedules, processing periods, and applicable fees will be disclosed through the platform or relevant payment agreements.

5.5 Payment Adjustments

Byryde may make reasonable payment adjustments for:

  1. Verified fare calculation errors.
  2. Duplicate payments.
  3. Fraudulent transactions.
  4. Authorized refunds.
  5. Disputed charges.
  6. Other adjustments permitted by applicable law and the Driver's agreement.

Drivers may dispute payment adjustments by contacting support@byryde.com.

5.6 Tips

Where tipping is supported, tips designated for Drivers will be distributed in accordance with applicable law and Byryde's disclosed tipping policies.

5.7 Taxes

Drivers are responsible for complying with applicable tax obligations arising from their transportation earnings.

Byryde may issue required tax documentation and report payments to government authorities as required by law.

Nothing in these Terms prevents legally required tax withholding or reporting.

6. DRIVER LIABILITY, VEHICLE DAMAGE, AND INDEMNIFICATION

6.1 Responsibility for Driver Conduct

Drivers are responsible for their own actions and omissions while providing transportation services.

Drivers may be held legally responsible for losses, injuries, or damages caused by their negligence, reckless conduct, intentional misconduct, or violations of applicable law.

6.2 Traffic Violations and Fines

Unless otherwise required by law, Drivers are responsible for traffic citations, parking violations, and other penalties resulting from their own unlawful conduct.

6.3 Vehicle Damage

Drivers are responsible for maintaining their vehicles and addressing damage resulting from normal use, maintenance issues, or their own conduct.

Damage caused by Riders may be reported through Byryde's applicable damage claim procedures.

Byryde does not guarantee reimbursement for every reported damage claim.

6.4 Accident Reporting

Drivers must promptly report accidents occurring during Byryde-related transportation services.

Drivers must cooperate with legally required accident investigations, insurance claims, and regulatory reporting procedures.

Drivers should provide accurate incident information and preserve relevant evidence when safe and lawful.

6.5 Driver Indemnification

To the extent permitted by applicable law, Drivers agree to defend, indemnify, and hold harmless Byryde Corp., its officers, directors, employees, and representatives against third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from:

  1. The Driver's negligent, reckless, or intentional misconduct.
  2. The Driver's material breach of these Terms.
  3. The Driver's violation of applicable transportation or traffic laws.
  4. The Driver's failure to maintain legally required licenses or insurance.
  5. Property damage or personal injury caused by the Driver's wrongful conduct.
  6. Unauthorized use of the Byryde platform.
  7. Fraud or material misrepresentation by the Driver.

This indemnification obligation does not apply to the extent a claim arises from Byryde's own negligence, misconduct, breach of contract, or statutory obligations, or where indemnification is prohibited by applicable law.

6.6 Separate Indemnification Agreement

If a Driver separately executes a Byryde Independent Contractor Indemnification and Liability Agreement, that agreement may establish additional obligations, subject to applicable law.

Any conflict between agreements should be resolved according to their expressly stated order of precedence.

Nothing in either agreement eliminates legal protections that cannot lawfully be waived.

7. AIRPORT TRANSPORTATION AND REGULATORY COMPLIANCE

7.1 Airport Operations

Drivers providing transportation services at airports must comply with applicable airport rules, permits, designated pickup and drop-off procedures, and transportation network company requirements.

7.2 Boise Airport

Drivers are responsible for complying with applicable airport regulations.

Violations may result in airport penalties, loss of airport access privileges, or platform restrictions, subject to applicable law.

8. PROHIBITED DRIVER ACTIVITIES

  1. Use another person's Driver account.
  2. Permit unauthorized individuals to operate their registered vehicle through their account.
  3. Provide transportation while intoxicated or impaired.

  5. Manipulate GPS data, trip distances, fares, or ride records.
  6. Create fraudulent trips or accounts.
  7. Request unauthorized off-platform payments for trips arranged through Byryde.
  8. Misrepresent vehicle, license, or insurance information.
  9. Transport prohibited or unlawful items knowingly.
  10. Retaliate against Riders for submitting legitimate complaints.
  11. Share confidential Rider information without authorization.

  • License and vehicle information.

  • Trip records.
  • Payment and earnings information.
  • Device information.
  • Location data.

Information will be processed in accordance with applicable law and Byryde's Privacy Policy.

9.2 Location Tracking

The collection and use of location information will be subject to applicable permissions, disclosures, and privacy laws.

  • Policy changes.
  • Administrative notifications.

Marketing communications will be subject to applicable consent requirements.

10. ACCOUNT SUSPENSION, DEACTIVATION, AND TERMINATION

10.1 Suspension

Byryde may temporarily suspend or restrict a Driver account for legitimate reasons, including:

  • Safety complaints.
  • Suspected fraud.
  • Expired documentation.
  • Insurance lapses.
  • Background screening concerns.
  • Material policy violations.
  • Regulatory noncompliance.

10.2 Immediate Restrictions

Byryde may impose immediate restrictions when reasonably necessary to address an imminent safety threat, suspected serious misconduct, or legal compliance concern.

10.3 Permanent Deactivation

Byryde may permanently deactivate a Driver account for serious or repeated violations, subject to applicable law and contractual obligations.

10.4 Driver Appeals

Where required by law or provided under Byryde policy, Drivers may request a review of a deactivation decision.

Appeal requests may be submitted to:

support@byryde.com

10.5 Termination by Driver

Drivers may discontinue use of the Byryde platform and request account closure, subject to any outstanding lawful obligations.

10.6 Outstanding Earnings

Termination does not eliminate the Driver's right to receive legitimately earned compensation, subject to lawful adjustments and applicable payment-processing requirements.

11. DISCLAIMERS AND LIMITATION OF LIABILITY

11.1 Platform Availability

To the maximum extent permitted by law, the Byryde technology platform is provided on an "AS IS” and "AS AVAILABLE” basis.

Byryde does not guarantee uninterrupted access, error-free operation, or continuous availability of ride requests.

11.2 No Guaranteed Earnings

Byryde does not guarantee any particular level of income, number of trips, or business profitability.

Drivers acknowledge that earnings may vary depending on demand, availability, location, trip acceptance, expenses, and other factors.

11.3 Limitation of Liability

To the maximum extent permitted by applicable law, Byryde shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the technology platform.

Any contractual limitation on Byryde's direct liability must be interpreted consistently with applicable law and must not exclude liabilities that cannot legally be limited.

11.4 Non-Waivable Rights

Nothing in these Terms limits rights or remedies that cannot lawfully be waived, including applicable statutory protections, insurance obligations, or liability for conduct that cannot legally be excluded.

12. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR RIGHT TO PURSUE CERTAIN CLAIMS IN COURT.

12.1 Informal Dispute Resolution

Before initiating formal proceedings, Drivers and Byryde agree to attempt to resolve disputes informally.

Written notices may be sent to:

support@byryde.com

The parties will have 30 days after receipt of a dispute notice to attempt a resolution, unless otherwise required by law.

12.2 Binding Individual Arbitration

Except for disputes excluded by applicable law or this agreement, claims arising from these Terms or the Driver's use of the Byryde platform shall be resolved through binding individual arbitration.

Arbitration shall be administered under applicable American Arbitration Association rules, unless the parties agree otherwise.

The Federal Arbitration Act shall govern interpretation and enforcement of this arbitration provision to the extent applicable.

12.3 Exceptions

Claims that cannot lawfully be required to proceed through arbitration are excluded.

Nothing in these Terms prevents Drivers from filing complaints with government agencies, reporting legal violations, or exercising other non-waivable statutory rights.

12.4 Class and Collective Action Waiver

To the extent permitted by applicable law:

BYRYDE AND THE DRIVER AGREE THAT DISPUTES SUBJECT TO ARBITRATION SHALL BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

This provision does not apply where prohibited by law.

12.5 Arbitration Opt-Out

Drivers may opt out of the arbitration agreement by submitting written notice within 30 days after first accepting these Terms.

Opt-out notices must be sent to:

support@byryde.com

The notice must identify the Driver and clearly state the intention to opt out of arbitration.

Opting out will not, by itself, disqualify an otherwise eligible Driver from using the platform.

12.6 Arbitration Costs

Arbitration costs shall be allocated in accordance with the applicable arbitration rules and governing law.

Nothing in these Terms requires a Driver to pay arbitration fees that applicable law prohibits imposing on the Driver.

13. GOVERNING LAW AND GENERAL PROVISIONS

13.1 Governing Law

These Terms shall be governed by the laws of the State of Idaho, except where federal law or mandatory laws of another jurisdiction apply.

13.2 Changes to Terms

Byryde may update these Terms periodically.

Material changes will be communicated as required by applicable law.

Where required, Byryde will obtain the Driver's consent before updated Terms become binding.

13.3 Severability

If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain effective to the extent permitted by law.

13.4 Entire Agreement

These Terms, together with expressly incorporated agreements and policies, constitute the agreement governing the Driver's use of the Byryde platform.

13.5 No Waiver

Failure by either party to enforce a provision does not constitute a permanent waiver of that provision.

13.6 Assignment

Drivers may not transfer their accounts or contractual rights without Byryde's prior written consent, except where applicable law provides otherwise.
