IMPORTANT: PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE BYRYDE PLATFORM.

By downloading, registering for, accessing, or using the Byryde mobile application, website, or related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms”).

If you do not agree to these Terms, you must not access or use the Byryde platform.

These Terms establish a legally binding agreement between you ("Rider,” "User,” or "you”) and Byryde Corp. ("Byryde,” "Company,” "we,” "us,” or "our”).

1. CONTRACTUAL RELATIONSHIP AND PLATFORM SERVICES

1.1 Platform Provider

Byryde Corp. operates a technology-based ridesharing platform accessible through its mobile applications and official website, https://byryde.com.

The platform facilitates connections between individuals requesting transportation ("Riders”) and independent third-party transportation providers ("Drivers”).

1.2 Nature of Services

Byryde provides technology services that facilitate transportation requests, ride matching, electronic payments, trip communications, and related platform functionality.

Byryde does not itself operate vehicles or directly provide transportation services through its technology platform.

To the extent permitted by applicable law, transportation services are performed by independent third-party Drivers rather than Byryde.

Nothing in these Terms limits any responsibilities imposed on Byryde under applicable transportation network company, insurance, consumer protection, or other laws.

1.3 Independent Transportation Providers

Drivers using the Byryde platform are independent third-party service providers and are not employees of Byryde solely by virtue of using the platform.

Drivers are responsible for operating their vehicles safely and complying with applicable licensing, registration, insurance, vehicle inspection, and transportation requirements.

The legal relationship between Byryde and its Drivers is subject to applicable law and the relevant Driver agreements.

2. USER ELIGIBILITY, ACCOUNTS, AND VERIFICATION

2.1 Age Requirements

You must be at least 18 years old, or the legal age of majority in your jurisdiction if higher, to register for a Byryde account.

Individuals under 18 may only use transportation services when accompanied by a responsible adult, unless Byryde expressly offers a legally compliant service permitting otherwise.

2.2 Account Registration

You agree to provide accurate, complete, and current information when creating and maintaining your account.

You must promptly update any information that becomes inaccurate.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account, except where resulting from unauthorized access not attributable to your actions.

You agree to notify Byryde promptly if you suspect unauthorized access or fraudulent activity.

2.4 Account Verification

Byryde may require identity verification, telephone verification, payment verification, or additional security checks to protect users and prevent fraud.

Byryde reserves the right to deny, restrict, or suspend access when verification requirements are not satisfied, subject to applicable law.

2.5 Electronic Communications

By providing your contact information, you agree to receive service-related communications, including:

  • Account verification messages.
  • Ride confirmations and driver arrival notifications.
  • Payment receipts and transaction updates.
  • Security alerts and administrative notices.
  • Customer support communications.

Byryde may use third-party communications providers, including Twilio, to deliver these messages.

Marketing text messages will be sent only where Byryde has obtained any consent required by applicable law. You may opt out of eligible text communications by following the instructions provided in those messages.

Standard message and data rates may apply.

3. RIDER RESPONSIBILITIES, VEHICLE DAMAGE, AND CLEANING FEES

3.1 Personal Conduct and Responsibility

Riders are responsible for their own actions, conduct, and behavior while using the Byryde platform and during transportation services.

You agree to act responsibly and comply with all applicable laws, safety requirements, and reasonable Driver instructions.

You may be held legally and financially responsible for injury, damage, or losses caused by your negligent, reckless, unlawful, or intentional conduct, to the extent permitted by applicable law.

3.2 Responsibility for Guests

If you request transportation for another person, you agree to communicate applicable safety requirements and these Terms to that person.

You may be responsible for charges, damage, or losses caused by guests traveling under your booking, to the extent permitted by law.

Nothing in this section automatically makes you responsible for another person's independent unlawful conduct where applicable law does not permit such liability.

3.3 Vehicle Damage

Riders may be charged for damage they or their guests cause to a Driver's vehicle, including:

  • Damage to seats, upholstery, windows, doors, or interior components.
  • Damage to vehicle equipment or accessories.
  • Intentional vandalism or destruction of property.
  • Damage caused by improper handling of luggage or personal belongings.

Charges must be reasonably related to the documented cost of repair or replacement.

3.4 Cleaning Fees

Byryde may assess reasonable cleaning fees when a Rider or guest causes excessive mess or contamination requiring cleaning beyond ordinary vehicle maintenance.

Examples include:

  • Vomit or other bodily fluids.
  • Significant food or beverage spills.
  • Smoking or vaping residue.
  • Excessive debris or contamination.
  • Damage requiring professional detailing.

3.5 Damage Claim Verification

Before assessing a damage or cleaning fee, Byryde may review:

  1. Photographs or other evidence submitted by the Driver.
  2. The Driver's description of the incident.
  3. Trip information and timestamps.
  4. Repair estimates, invoices, or cleaning documentation.
  5. Any relevant explanation or evidence submitted by the Rider.

Byryde may charge the Rider's authorized payment method for verified and reasonable charges, subject to applicable law, payment authorization requirements, and the Rider's right to dispute the charge.

Riders may dispute damage or cleaning fees by contacting support@byryde.com.

3.6 Personal Belongings

Riders are responsible for securing and retrieving their personal belongings.

Byryde is not responsible for property left in a Driver's vehicle except to the extent liability is imposed by applicable law or results from conduct for which liability cannot lawfully be excluded.

If you lose an item, contact support@byryde.com for assistance.

4. FARES, PAYMENTS, CANCELLATIONS, AND REFUNDS

4.1 Ride Charges

By requesting transportation through Byryde, you agree to pay the applicable fare and disclosed charges associated with your trip.

Depending on the service, charges may include:

  • Base fares.
  • Distance-based charges.
  • Time-based charges.
  • Demand-based pricing adjustments.
  • Applicable tolls.
  • Airport access or regulatory fees.
  • Applicable taxes.
  • Booking or service fees.
  • Waiting-time charges.
  • Cancellation or no-show fees.

Applicable charges and pricing information will be disclosed through the platform as required by law.

4.2 Payment Authorization

You authorize Byryde and its designated payment processors to charge your selected payment method for authorized trip fares and applicable fees.

You agree to maintain valid payment information.

4.3 Fare Adjustments

Final charges may differ from estimated fares when permitted by applicable law and disclosed platform policies, including where a trip involves additional stops, route changes, waiting time, tolls, or other applicable adjustments.

4.4 Cancellation Policy

Riders may cancel ride requests through the Byryde application.

Cancellation fees may apply when a cancellation occurs after the applicable grace period or after a Driver has committed time or resources to the trip.

Any applicable cancellation fee and grace period must be disclosed to Riders before the fee is imposed.

4.5 No-Show Policy

A Rider may be assessed a disclosed no-show fee if the Driver arrives at the designated pickup location and the Rider fails to appear within the applicable waiting period.

4.6 Refunds and Billing Disputes

Refund requests will be evaluated in accordance with Byryde's applicable refund policies, these Terms, and relevant consumer protection laws.

Refunds may be issued for qualifying billing errors, duplicate charges, canceled services, or other circumstances requiring reimbursement.

For billing assistance, contact support@byryde.com.

Nothing in these Terms limits your statutory rights to dispute unauthorized charges or obtain refunds required by law.

5. RIDER CODE OF CONDUCT AND SAFETY

5.1 Prohibited Activities

Riders and guests must not engage in:

  1. Physical violence, threats, intimidation, or harassment.
  2. Sexual harassment, sexual misconduct, or unwanted physical contact.
  3. Discrimination based on legally protected characteristics.
  4. Smoking or vaping inside a Driver's vehicle.
  5. Illegal drug possession, consumption, or distribution.
  6. Unlawful possession or consumption of alcohol.
  7. Intentional vehicle damage or vandalism.
  8. Fraudulent bookings or payment activity.
  9. Requests that Drivers violate traffic laws or safety regulations.
  10. Interference with the Driver's ability to operate the vehicle safely.

5.2 Seat Belts and Vehicle Capacity

All Riders must comply with applicable seat belt and child passenger safety laws.

Riders must not exceed the vehicle's legally permitted passenger capacity.

Required child safety seats must be provided and used in accordance with applicable law and Byryde's published policies.

5.3 Unsafe Conduct

Drivers may decline or discontinue transportation when reasonably necessary to address immediate safety threats, unlawful conduct, or serious violations of these Terms, subject to applicable law and nondiscrimination requirements.

5.4 Emergencies

In an emergency, Riders should contact local emergency services immediately by dialing 911 in the United States.

Byryde customer support is not a substitute for emergency services.

5.5 Account Suspension and Termination

Byryde may suspend, restrict, or terminate accounts for legitimate safety, security, fraud-prevention, or policy-enforcement reasons.

Where appropriate and legally required, Byryde may provide notice and an opportunity to appeal.

6. DISCLAIMERS, LIMITATIONS OF LIABILITY, AND INDEMNIFICATION

6.1 Platform Availability

To the maximum extent permitted by applicable law, the Byryde technology platform is provided on an "AS IS” and "AS AVAILABLE” basis.

Byryde does not guarantee uninterrupted access, error-free operation, or the continuous availability of transportation providers.

6.2 Transportation Services

Transportation services are performed by independent third-party Drivers.

However, nothing in these Terms excludes or reduces any legal duty, insurance obligation, or liability that Byryde may have under applicable law.

6.3 Limitation of Liability

To the maximum extent permitted by applicable law, Byryde shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the platform.

For claims relating solely to the operation of the technology platform, Byryde's aggregate contractual liability shall be limited to the amount paid by the Rider for the transaction giving rise to the claim, except where such a limitation is prohibited by law.

This limitation does not apply to liabilities that cannot lawfully be excluded or limited, including certain personal injury claims, statutory liabilities, or liability arising from gross negligence or intentional misconduct.

6.4 Rider Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Byryde Corp. and its officers, directors, employees, and representatives against third-party claims, losses, damages, and reasonable legal expenses arising from:

  1. Your material violation of these Terms.
  2. Your unlawful or intentional misuse of the platform.
  3. Property damage or personal injury caused by your wrongful conduct.
  4. Your violation of applicable laws.
  5. Your infringement of another person's legal rights.

This obligation does not apply to the extent a claim results from Byryde's own negligence, misconduct, or breach of legal obligations, or where indemnification is otherwise prohibited by law.

6.5 Insurance and Statutory Rights

Nothing in these Terms waives or limits any insurance coverage, statutory protection, or legal remedy available to Riders under applicable law.

Any insurance maintained or required for transportation network company operations is governed by the applicable insurance policies and laws.

7. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING CERTAIN CLAIMS IN COURT.

7.1 Informal Dispute Resolution

Before initiating formal proceedings, you and Byryde agree to attempt to resolve disputes informally.

Riders may submit a written dispute notice to:

support@byryde.com

The notice should describe the dispute and the requested resolution.

The parties will have 30 days after receipt of the notice to attempt a resolution, unless a different period is required by law.

7.2 Binding Individual Arbitration

Except for claims excluded by applicable law or this section, disputes arising from these Terms or use of the Byryde platform shall be resolved through binding individual arbitration.

Arbitration shall be administered under applicable consumer arbitration rules of the American Arbitration Association, unless the parties agree otherwise.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement to the extent applicable.

7.3 Exceptions

Either party may pursue eligible claims in small claims court.

Claims that cannot lawfully be required to proceed through arbitration are excluded from this provision.

Nothing in these Terms prevents a Rider from filing complaints with governmental or regulatory authorities.

7.4 Class Action Waiver

To the extent permitted by applicable law:

YOU AND BYRYDE AGREE THAT DISPUTES SUBJECT TO ARBITRATION SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

This waiver does not apply where prohibited by law.

7.5 Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to:

support@byryde.com

Your notice must be submitted within 30 days after you first accept these Terms and must include sufficient information to identify your account and clearly state your intention to opt out of arbitration.

Opting out of arbitration will not affect your ability to use Byryde services.

7.6 Arbitration Costs

Arbitration filing and administrative fees shall be allocated in accordance with the applicable arbitration rules and governing law.

Nothing in this section requires Riders to pay fees prohibited by applicable consumer protection laws.

8. GOVERNING LAW AND CONTACT INFORMATION

8.1 Governing Law

These Terms shall be governed by the laws of the State of Idaho, except where federal law or mandatory laws of another jurisdiction apply.

The arbitration agreement shall be governed by the Federal Arbitration Act to the extent applicable.

8.2 Changes to Terms

Byryde may update these Terms periodically.

When required by law, Byryde will provide notice of material changes and obtain any necessary consent.

Updated Terms will be published through the Byryde platform or website.

8.3 Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

8.4 Entire Agreement

These Terms, together with applicable policies incorporated by reference, constitute the agreement between the Rider and Byryde regarding use of the platform.
